求助：目前看一些资料，其中术语比较多，看也不太懂，晕死了，有那位高手能帮帮忙，很少的一部分，先谢了，主要是(b)

The Company irrevocably and unconditionally represents, warrants and undertakes
to the Lead Investor:

(a)to, upon the execution of this Deed of Charge of Shares, forthwith deposit with the Lead Investor all share certificates in respect of the Charged Shares together with executed blank transfer forms in respect thereof, and such other documents as the Lead Investor may from time to time require in connection therewith;

(b)to, from time to time, procure that all relevant board resolutions of China Medstar are passed and all requisite authorizations are obtained to approve, accept and/or otherwise give effect to the transfers or other assurances
of the Charged Shares in favour of the Lead Investor, its nominees and/or purchaser thereof (each, a “Relevant Transferee”) and to approve the registration of the Relevant Transferee as holder of the Charged Shares and all necessary
steps are taken to enable such transfers and other assurance to be effected without further approvals, in each case in accordance with the provisions of this Deed of Charge of Shares.
